AmSurg, Envision Healthcare propose combined company’s board of directors — 6 takeaways

Following news of AmSurg’s merger with Envision Healthcare, the two companies announced they proposed members for the combined company’s board of directors, according to Street Insider.

Here are six takeaways:

1. Seven members will comprise the board of directors and each board member is currently an AmSurg or Envision board of directors’ member.

2. Envision proposed William A. Sanger, Carol J. Burt, Leonard M. Riggs, MD, Richard J. Schnall, James D. Shelton, Michael L. Smith and Ronald A. Williams to the combined company’s board.

3. AmSurg proposed Christopher A. Holden, James A. Deal, John T. Gawaluck, Steven I. Geringer, Joey A. Jacobs, Kevin P. Lavender and Cynthia S. Miller to the new board of directors.

4. On Nov. 8, AmSurg and Envision will hold separate shareholder meetings to vote on the merger.

5. The companies submitted an amended preliminary joint proxy statement/prospectus about the board of directors’ composition and meetings’ date to the U.S Securities and Exchange Commission on Oct. 7.

6. Upon the merger’s completion, AmSurg and Envision will be named Envision Healthcare Corporation.
