3. MFC board policy mandates a candidate attend board meetings of the company and its subsidiary, Medical Facilities Holdings, before being formally proposed for board nomination.
4. This policy is in place to ensure board nominees are suitable.
5. Although described as consulting fees, these fees were in actuality board meeting fees for individuals who were appointed to the MFC board.
