Endo Pharmaceuticals to Acquire American Medical Systems for $2.9B

Endo Pharmaceuticals will acquire American Medical Systems for $2.9 billion, which includes a $312 million payment of AMS debt, according to an Endo news release.

AMS provides procedures and medical devices for pelvic health. The combined company will offer healthcare solutions for urology and pain.

On a 2011 pro forma basis, the combined company would have had revenues of approximately $3 billion. By 2013, Endo expects to gain $50 million in cost synergies from duplicative SG&A expenditures, manufacturing efficiencies and procurement savings.

The transaction has been unanimously approved by the boards of directors of both companies and must now be approved by AMS stockholders and antitrust authorities. The acquisition is expected to close late in the third quarter of 2011.
