NovaMed Anticipates May 2011 for Merger With Surgery Partners

NovaMed, an operator of ambulatory surgery centers in partnership with physicians, has scheduled a special meeting of its stockholders for May 4, 2011, to consider and approve a merger with Surgery Partners, according to a Sun Herald report.

The agreement would merge Wildcat Merger Sub, a wholly-owned subsidiary of Surgery Partners, with and into NovaMed, with NovaMed surviving the merger as a wholly-owned subsidiary of Surgery Centers. Completion of the merger is subject to approval of the merger agreement by holders of a majority of the outstanding shares of NovaMed’s common stock.

If approved, the merger is expected to be completed as promptly as possible on May 4, 2011, following the conclusion of the special meeting.
