Ambulatory Surgery Centers and Physician-Owned Hospitals

Ambulatory surgery centers and physician owned hospitals each offer similar advantages to consumers and to payors. For example, each, if managed well, can deliver services at lower cost and each, if managed well, can have outstanding clinical results. Thus, it is sometimes hard to understand the difference in the debate and rhetoric, in Washington and in state capitals, between physician-owned hospitals and surgery centers. This article explains some of the reasons for the varied degree of congressional support for surgery centers as compared to physician-owned hospitals.

Stark III - Nine Areas of Concern

The Center for Medicare and Medicaid Services (“CMS”), on July 2nd, published their thoughts relating to the impending Stark III Rules. In addition to certain specific proposed rules, CMS solicited comments on several areas of concern. These proposed Stark III Rules tend to tighten up restrictions rather than add additional opportunities. While many of the proposed changes make sense given ongoing potentially abusive activities, the changes will not be viewed as physician-friendly. CMS Issues Final Phase III Regulations

The Center for Medicare and Medicaid Services ("CMS"), on September 5th, published a final rule implementing Phase III of Part II of the Stark Act (the "Stark III Regulations"). CMS, in addition to revising certain elements of the Stark Act, responded to commentary regarding the elements it had changed and the elements still under consideration for revision.

Buying and Selling of Ambulatory Surgery Centers

This article focuses on buyers of majority interests in ambulatory surgery centers. Currently, there are three public company buyers of majority interests in ASCs, and four private company buyers that fit in this category. These are the companies that generally buy more than 50% in an ASC transaction – typically from 51-66%.
