Can Future Hospital-Improved Reimbursement
Be Factored Into Current ASC Valuation?

Q: ABC ASC sells to Hospital XYZ. Valuation indicates procedures will be paid at 35 percent more when the hospital becomes the owner. Can this added value be considered in the valuation or subsequent value paid to the ASC owners in the selling transaction?

Scott Becker, JD, responds: Essentially, the increased value that the hospital can reap through charging higher fees cannot be accounted for in the fair market valuation of the center. The center cannot benefit for purposes of the valuation from synergies or benefits the hospital can bring.
